何胜必，湖南湘乡人。
清史稿卷四百三十 列传二百十七：
何胜必，湖南湘乡人。咸丰中，胜必应募入湘军，从萧启江转战江西、广西，积功至副将。从入蜀，分统湘果右军，破李永和於井研，又破之於资州，阵斩贼酋王二官，赐号御勇巴图鲁。十一年，会破滇匪蓝朝柱於西山观，又败诸青衣坝，解眉州围，追至青神，擒斩甚众，授甘肃肃州镇总兵。同治元年，会诸军克青神，追贼宜宾，擒贼目周廷光。偕胡中和诱擒李永和於犍为龙□，二年，偕萧庆高援汉中，战油坊街，不利，汉中、城固相继陷，革职留军。三年，会攻法慈院贼垒，再败之牟家坝，乘胜薄汉中城下，捻渠陈得才遁走，克汉中，复原官。又破陈得才於上元观，克城固，进规阶州。四年，卒於军，赐恤，谥威悫。
